1. General

1.1 These General Terms and Conditions (“Terms”) apply to all offers, orders, and agreements between eboeve B.V. (“eboeve”, “we”, “us”) and the customer (“you”, “the Customer”) in connection with the purchase of products via eboeve.com.

1.2 By placing an order on eboeve.com, you confirm that you have read, understood, and agreed to these Terms. A copy of these Terms is available on our website at all times.

1.3 These Terms apply to both consumers (private individuals purchasing for personal use) and business customers (B2B). Where the law grants consumers additional rights that cannot be excluded, those rights are not affected by these Terms.

1.4 eboeve reserves the right to amend these Terms at any time. The version in force at the time your order is placed applies to that order.

1.5 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

2. Products and product information

2.1 eboeve is a curated webshop that sources and resells products from established brands and suppliers. eboeve does not manufacture products itself.

2.2 We make every effort to present our products accurately, including descriptions, dimensions, colours, and images. However, minor variations in colour, texture, or finish may occur due to differences in screen settings, photography, or the natural characteristics of the materials. Such variations do not constitute a defect.

2.3 For handcrafted and artisan products, small irregularities in shape, colour, or finish are an inherent characteristic of the product and are not considered defects. This will be noted on the relevant product page where applicable.

2.4 eboeve reserves the right to discontinue or modify products at any time without prior notice.

3. Orders and conclusion of contract

3.1 All product listings on eboeve.com are an invitation to purchase, not a binding offer. An order placed by you constitutes an offer to buy.

3.2 A binding agreement between you and eboeve is formed when eboeve sends you a written order confirmation by email. eboeve reserves the right to decline any order, for example in the event of pricing errors, stock unavailability, or suspicion of fraud.

3.3 If eboeve is unable to fulfil your order after confirmation, we will notify you promptly and issue a full refund of any amount paid.

3.4 Please ensure that all information provided during the order process (name, address, email, payment details) is accurate and complete. eboeve is not liable for delays or failed deliveries caused by incorrect information provided by you.

4. Pricing and payment

4.1 Prices

All prices displayed on eboeve.com are in Euros and include VAT where applicable. Shipping costs are not included in the product price and are displayed separately at checkout.

eboeve reserves the right to correct pricing errors at any time. If a pricing error is discovered after an order has been placed, we will contact you and give you the option to confirm the order at the correct price or cancel it for a full refund.

4.2 Consumer orders (B2C)

Payment for consumer orders is required in full at the time of checkout. We accept payment via Mollie and PayPal, including credit card, debit card, and other payment methods available through those platforms.

4.3 Business orders (B2B)

For business customers, the following payment terms apply:

  • First order: a minimum deposit of 50% of the total order value is required in advance. The remaining balance is due prior to shipment.
  • Subsequent orders: payment terms may be agreed upon in writing between eboeve and the business customer. In the absence of a written agreement, full payment in advance applies.
  • Large or custom orders (including orders placed by yacht owners, managers, or developers via email): a 50% deposit is required upon order confirmation. The remaining 50% is due before the order is shipped or made available for delivery.

eboeve reserves the right to require full advance payment for any business order at its discretion, particularly for new accounts or high-value orders.

4.4 Late payment

In the event of late payment by a business customer, eboeve is entitled to charge statutory commercial interest in accordance with Dutch law, calculated from the due date. eboeve also reserves the right to suspend or cancel outstanding orders in the event of non-payment.

5. Made-to-order products and delivery times

5.1 The majority of products sold by eboeve are ordered from suppliers on your behalf at the time of purchase. Many of these products are handcrafted or produced in limited quantities. Delivery times for these products are typically 4 to 6 weeks, unless a different time is stated on the product page.

5.2 Stated delivery times are indicative and not guaranteed. Delays may occur due to production lead times, supplier circumstances, or logistics. eboeve will inform you of any significant delays as soon as possible.

5.3 eboeve is not liable for any loss, damages, or costs arising from delayed delivery, including where a specific delivery date was expected.

5.4 Where a product page states a shorter delivery time (for example, for in-stock items), eboeve will make reasonable efforts to meet that timeframe.

6. Cancellations

6.1 Standard orders (in-stock products) may be cancelled without charge provided the order has not yet been shipped. To request cancellation, contact us immediately at info@eboeve.com.

6.2 Made-to-order products for which production has not yet started may be cancelled subject to a cancellation fee of 20% of the total order value, to cover administrative and supplier commitment costs.

6.3 Made-to-order products for which production has already commenced cannot be cancelled. By placing an order for a made-to-order product, you acknowledge and accept this condition.

6.4 For business customers, cancellations are only accepted in writing and are subject to the terms in clauses 6.2 and 6.3 above.

6.5 eboeve reserves the right to cancel any order at any time in the event of a pricing error, product unavailability, or force majeure. In such cases, a full refund will be issued promptly.

7. Shipping and delivery

7.1 eboeve ships to countries as listed on eboeve.com. Shipping costs and estimated delivery times are displayed at checkout.

7.2 Risk of loss or damage to the products passes to you upon delivery of the order to the address you provided.

7.3 Upon receiving your order, please inspect the packaging before signing for delivery. If the outer packaging is visibly damaged, please note this clearly on the carrier’s delivery document and contact us within 48 hours at info@eboeve.com with your order number and photographs. Please retain the original packaging, as it may be required for any transport damage claim.

7.4 If a delivery attempt fails due to circumstances beyond eboeve’s control (for example, an incorrect address, no one present to receive the parcel, or refusal of delivery), any additional delivery costs incurred will be charged to you.

7.5 eboeve uses third-party carriers for delivery and is not liable for delays or losses caused by those carriers.

8. Returns and refunds

Returns and refunds are governed by our separate Returns & Refund Policy, which is published on eboeve.com and forms part of these Terms. In summary:

  • Consumer customers in the EU have the statutory right to withdraw from a purchase within 14 days of delivery, unless the product is made to order.
  • Made-to-order products cannot be returned, unless received damaged, defective, or incorrect.
  • In-stock products marked as returnable may be returned within 14 days of delivery in their original, unused condition.
  • Refunds are processed within 14 days of receiving the returned item.

9. Warranty and defects

9.1 eboeve warrants that products are delivered in the condition as described on the product page. If you receive a product that is defective, damaged on arrival, or materially different from what you ordered, please contact us within 48 hours of delivery at info@eboeve.com, including your order number and photographs.

9.2 eboeve will assess the situation and, where the complaint is justified, arrange for a repair, replacement, or refund at our discretion.

9.3 The warranty does not cover damage caused by improper use, negligence, normal wear and tear, exposure to unsuitable conditions, or modifications made by the customer or third parties.

9.4 For handcrafted products, natural variations in colour, texture, grain, or finish are not considered defects and do not give rise to any warranty claim.

9.5 Consumer customers retain all statutory warranty rights under Dutch law and applicable EU consumer law, which are not affected by these Terms.

10. Liability

10.1 eboeve’s liability for any claim arising out of or in connection with an order is limited to the total value of that order, unless the damage is the result of wilful misconduct or gross negligence by eboeve.

10.2 eboeve is not liable for indirect or consequential damages, including but not limited to loss of profits, loss of use, or third-party claims.

10.3 eboeve is not liable for damages arising from: incorrect or incomplete information provided by you; improper use of the products; circumstances beyond eboeve’s reasonable control; or acts or omissions of third-party suppliers, manufacturers, or carriers.

10.4 Nothing in these Terms limits eboeve’s liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under mandatory law.

11. Intellectual property

11.1 All content on eboeve.com, including but not limited to text, photographs, product images, logos, and design, is the property of eboeve or its licensors and is protected by applicable intellectual property laws.

11.2 Product images and brand assets belonging to the brands and suppliers whose products are featured on eboeve.com remain the property of their respective owners.

11.3 You may not reproduce, copy, distribute, or use any content from eboeve.com for commercial purposes without prior written permission from eboeve.

12. Privacy

eboeve processes personal data in accordance with its Privacy Policy, which is published on eboeve.com. By placing an order, you acknowledge that eboeve may process your personal data as described in that policy.

13. Force majeure

13.1 eboeve is not liable for any failure or delay in performing its obligations where that failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, fire, strikes, government measures, import or export restrictions, disruptions to transport networks, or shortages of materials or products from suppliers.

13.2 In the event of force majeure lasting more than three months, either party may cancel the outstanding order in writing. In such a case, eboeve will refund any amount paid for undelivered products.

14. Applicable law and disputes

14.1 These Terms and any agreements arising from them are governed exclusively by the laws of the Netherlands.

14.2 Any disputes arising from or in connection with these Terms or an order placed on eboeve.com will be submitted to the competent court of the Rechtbank Midden-Nederland (Utrecht), unless mandatory consumer law requires that the dispute be handled by the court of the consumer’s place of residence.

14.3 Consumer customers in the EU may also use the European Commission’s Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr, to resolve disputes out of court.

14.4 eboeve and the customer will always first attempt to resolve any dispute amicably before initiating legal proceedings.
